LIFETIME AND UNIVERSITY OF PHOENIX

“MAKE YOUR DREAMS COME TRUE”

ONLINE VIDEO CONTEST

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. CONTEST BEGINS AT 7:00:00 PM (ET) ON AUGUST 1, 2008 AND ENDS AT 11:59:59 PM (ET) ON AUGUST 27, 2008.

1. HOW TO ENTER: Complete official entry form available at www.mylifetime.com (the “Contest Site”) and follow the instructions to complete and submit a video describing how a scholarship from the University of Phoenix will help make your dreams come true (the “Video”). ALL ENTRIES MUST BE RECEIVED BY 11:59:59 PM (ET) ON AUGUST 27, 2008. Video may be in color or black and white. Video cannot exceed 120 seconds (two (2) minutes) in length, must be submitted in .mov, .avi, .wmv, .asf., .flv, .mp4 or .mpg4 format, and cannot be larger than 15 MB in size. If the Video exceeds 120 seconds (two (2) minutes) in length, only the first 120 seconds (two (2) minutes) will be judged. No illegible, incomplete, forged or altered entries will be accepted. Each entry must be submitted by one person. Limit: one entry per person. If additional entries are received, the entry received earliest will be judged. All entries, including each Video, become the exclusive property of Lifetime Entertainment Services and will not be returned. Videos (i) may not have been previously published or won any other prize/award, (ii) must be the exclusive original work of the entrant, true and verifiable, (iii) must be in keeping with the Sponsors’ image, (iv) may not be inappropriate, offensive, libelous or defamatory, pornographic, sexually explicit, unlawful or plagiarized, as determined by the Sponsors in their sole discretion, (v) must not be harassing, abusive, threatening, harmful, vulgar, profane, obscene, excessively violent, racially, ethnically or otherwise objectionable or offensive in any way, as determined by Sponsors in their sole discretion, (vi) may not violate or encourage others to violate any applicable law, statute, ordinance or regulation, (vii) may not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or any other third party rights, (vii) may not contain commercial/corporate advertising, including but not limited to corporate logos, brand names and slogans, other than those relating to Sponsors and (ix) may not include any viruses, worms, corrupt files, Trojan horses or other forms of corruptive code or content that may harm or compromise the Contest Site and/or the proper conduct of the Contest. By submitting entry, entrant represents that (a) she/he has the unrestricted right to submit the Video; (b) all persons whose name, voice or likeness appears in the Video (“Video Participants”) have unconditionally consented in writing to their appearance in the Video and unconditionally granted entrant in writing the right to submit the Video subject to these Official Rules, a copy of which consent and grant will be furnished to Sponsors upon request; (c) she/he is/has express written permission of the parent/legal guardian of any minor child that appears in the Video; and (d) the Video does not infringe upon any third party’s proprietary or other right. By entering, each entrant unconditionally and irrevocably assigns and transfers to Lifetime Entertainment Services any and all rights which she/he now has or may in the future have in and to the Video including, without limitation, the copyrights in the recording and performance therein, in any medium whatsoever. Lifetime Entertainment Services will have the unrestricted perpetual right to use, not use, alter, edit, publish, license, display, post and/or transfer each Video however it sees fit without further approval of or payment to entrant or any Video Participant. Sponsors may feature selected Videos (“Selected Videos”) on the Contest Site from time to time in Sponsors’ discretion. Selection for posting online as a Selected Video is not a part of this Contest and does not imply selection as a Finalist (defined below), the Grand Prize winner or otherwise.

2. SELECTION OF FINALISTS/GRAND PRIZE WINNER: Three (3) finalists (each, a "Finalist") will be selected from among all eligible Videos on or about August 29, 2008. Finalist selections will be made by a panel of independent judges (the “Judges”), whose decisions are final on all matters relating to the Contest, on the basis of: video quality (25%); video composition (25%); and adherence to theme of how a scholarship to the University of Phoenix will help entrant achieve her/his dream (50%) (collectively, the “Judging Criteria”). Finalists will be notified by electronic mail at the email address provided on their respective completed entry forms. Each Finalist may be required to complete and submit an application for enrollment at the University of Phoenix (each, an “Application”). All Applications become the exclusive property of the University of Phoenix and will not be returned. Failure to submit Application within 14 days after mailing of electronic mail notification may result in forfeiture of Finalist status. Application may be withdrawn without penalty in the event Finalist is not selected as Grand Prize winner. The Grand Prize winner will be selected by the Judges from among the Finalists on or about September 15, 2008 on the basis of the Judging Criteria. In the event of a tie, the tie will be broken based on how well the Video demonstrates how a scholarship to the University of Phoenix will help entrant achieve her/his dream. Grand Prize winner will be notified by electronic mail at the email address provided on her/his completed entry form.

3. RATING: After selection of Finalists until approximately September 15, 2008, members of the public will have the opportunity to view the Finalists’ Videos on the Contest Site and to rate the Finalists’ Videos. THE RATING IS FOR RECREATIONAL PURPOSES ONLY; ITS OUTCOME HAS NO BEARING ON THE OUTCOME OR JUDGING OF THE CONTEST.

4. GRAND PRIZE: One (1) Grand Prize: A non-cash, non-transferable credit of fifty five thousand dollars ($55,000) to be used solely for tuition and fees for courses in a University of Phoenix degree program of Grand Prize winner’s choice. Grand Prize is subject to all University of Phoenix admission requirements for selected degree program as set forth in the University of Phoenix Catalog (copy available from the University of Phoenix upon request and at [www.phoenix.edu]) and to all other applicable University of Phoenix policies and procedures. By accepting the Grand Prize, winner must agree to the following terms and conditions for the distribution of Grand Prize funds: (a) All educational supplies and living expenses, if any, are sole responsibility of Grand Prize winner. (b) Grand Prize credited to Grand Prize winner’s University of Phoenix account (“Account”). No check or other cash monies will be given and/or refunded to Grand Prize winner at any time. (c) Grand Prize may be applied to tuition and fees only; education supplies and living expenses are not included and are sole responsibility of Grand Prize winner. (d) Grand Prize winner must enroll at University of Phoenix within thirty (30) days following the award of the Grand Prize, unless otherwise determined by the University of Phoenix in its sole discretion. (e) Grand Prize winner must stay in attendance as a full-time student with no more than a twenty-nine (29) day break (or twenty one (21) days if attending a Georgia campus) between classes, unless otherwise determined by the University of Phoenix in its sole discretion. (f) Grand Prize winner must: maintain the minimum grade point average for selected degree program; make satisfactory progress towards completing selected degree program (satisfactory progress is measured as successfully completing a minimum of 16 credits during each 24 attempted credits); and complete selected degree program within the maximum time allowed under applicable federal regulations (such maximum time frame currently is based on the required number of credits for graduation from the degree program, less any transfer or assessed credits, multiplied by 150%). (g) Should Grand Prize winner withdraw from or otherwise fail to complete a course for which she/he registered and for which the Grand Prize (or a portion of the Grand Prize) has been used to pay tuition or fees, any refund due will be applied only to Grand Prize winner’s Account as a non-cash credit. In no event will any cash refund be given at any time. (h) If Grand Prize winner wishes to re-take a course, she/he must pay the entire cost of the course. No Grand Prize credit may be applicable to a re-taken course. A “re-take” of a course means receipt of proof that Grand Prize winner completed the course to a point of earning a letter grade of “A” through “F” and has been scheduled to repeat the same course. (i) Grand Prize winner will relinquish all unused credits should she/he fail to meet the applicable terms and conditions of the University of Phoenix for any reason, as determined by the University of Phoenix in its sole discretion. Any unused portion of the Grand Prize will be returned to the University of Phoenix. (j) Failure to comply with eligibility requirements of the Grand Prize will result in forfeiture of the Grand Prize.

Approximate retail value (“ARV’): $55,000. Odds of winning depend upon the number and content of eligible entries received. Grand Prize will be awarded (assuming sufficient number of eligible entries). Sponsors reserve right to substitute prize of equal or greater value. No other substitution or transfer of prize permitted. Sponsors responsible only for prize delivery; not responsible for prize utility, quality or otherwise.

5. ELIGIBILITY: Contest open to individual legal residents of the 50 United States and District of Columbia, age 18 or older as of August 1, 2008, except officers, directors and employees (and their immediate families and members of the same household) of Lifetime Entertainment Services, the University of Phoenix, Inc., Apollo Group, Inc., Western International University, Institute of Professional Development (the “Sponsor Entities”) and their respective subsidiaries, affiliates, agents, judges and advertising and promotion agencies, who: (i) have received a high school diploma (or its equivalent) as of August 1, 2008; (ii) are not currently enrolled in the University of Phoenix and are otherwise eligible to enroll as a full- or part-time student in a degree program at the University of Phoenix; and (iii) are not eligible to receive from any one or more sources full (100%) payment of and/or reimbursement for tuition payable to the University of Phoenix with respect to any period after September 15, 2008.

6. VERIFICATION OF FINALISTS/WINNER AND DELIVERY OF PRIZE: Finalists and Grand Prize winner will be required to sign affidavits of eligibility and liability releases and, where permitted, publicity releases. Any Video Participant may be required to sign liability release and, where permitted, publicity release. Prize may be awarded to alternate winner if affidavit/release is not returned within 14 days after mailing to winner or if prize notification letter or prize is returned as undeliverable. If any prize is won by a minor, it may be awarded in the name of a parent or legal guardian in Sponsors’ discretion. Each Finalist and the Grand Prize winner agrees to Sponsors’ use of her/his name, address, likeness, and/or prize information for promotional purposes in any medium without additional compensation to the extent permitted by law, any such use with respect to minors to be subject to prior approval of parent or legal guardian.

7. GENERAL: This Contest is void outside the United States and where prohibited or restricted by law and subject to all applicable federal, state and local laws and regulations. This Contest will be governed by the internal laws of the State of New York. Any and all legal actions or claims arising in connection with this Contest must be brought in a court of competent jurisdiction within the United States. Sponsors and judges not responsible for: (a) late, lost, stolen, damaged, garbled, incomplete, misaddressed, postage due or misdirected entries, e-mails or other communications; errors, omissions, interruptions, deletions, (b) defects or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices or transmission lines; data corruption, theft, destruction, unauthorized access to or alteration of entry materials; loss or otherwise; or (c) electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind or insufficient space in entrant's e-mail account to receive e-mail messages. The use of automated software or computer programs to register or to enter this Contest is prohibited and any individual who uses or attempts to use such methods to register or to enter will be disqualified. Sponsors disclaim any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with, this Contest and reserves the right, at its sole discretion, to modify, cancel, terminate or suspend this Contest if any virus, bug, technical failure, unauthorized human intervention or other cause outside of Sponsors’ control corrupts or affects the administration, security, fairness, integrity or proper conduct of this Contest. In the event of any such cancellation, termination or suspension, a notice will be posted and a random drawing will be held from among all eligible, non-suspect entries received prior to such time. Sponsors reserve the right, at its sole discretion, to disqualify any entrant (and all of her/his Contest entries) from this Contest or any other promotion conducted now or in the future by Sponsors or any of their respective affiliates if she/he tampers with the entry process or if her/his fraud or misconduct affects the integrity of this Contest. Sponsors reserve the right to correct clerical or typographical errors in promotional materials. By participating in this Contest, each entrant accepts the conditions stated in these Official Rules, agrees to be bound by the decisions of the Judges and warrants that she/he is eligible to participate in this Contest. By accepting prize, Grand Prize winner agrees to release the Sponsors Entities and their respective directors, employees, officers and agents, including without limitation, their advertising and promotion agencies, from any and all liability, loss or damages arising from or in connection with the awarding, receipt and/or use or misuse of prize or participation in any prize-related activity.

8. CAUTION. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

9. WINNER’S NAME: To obtain Grand Prize winner’s name, send a self-addressed, stamped envelope to: Make Your Dreams Come True Online Video Contest Winner’s Name Request, Lifetime Entertainment Services, 309 West 49th Street, New York, NY 10019, Attn: New Media Department. Grand Prize winner’s name request must be received by September 14, 2008. Grand Prize winner’s name will be sent after selection and verification of winner. Grand Prize winner’s name also will be available on www.mylifetime.com after selection and verification of winner.
