OFFICIAL RULES

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. PROMOTION BEGINS AT 12:00 AM (ET) ON NOVEMBER 1, 2009 AND ENDS AT 11:59:59 PM (ET) ON NOVEMBER 30, 2009.

1. PROMOTION DESCRIPTION: Lifetime’s All The Looks Launch Promotion (“Promotion”) begins at 12:00 AM Eastern Time (“ET”) on November 1, 2009 and ends at 11:59:59 PM (ET) on November 30, 2009 (“Promotion Period”). The Promotion Period is divided into thirty (30) separate entry periods. Each entry period begins at 12:00 am ET on each day during the Promotion Period and ends at 11:59:59 PM (ET) on the same day (an “Entry Day”).

2. HOW TO ENTER: During the Promotion Period, go to mylifetime.com (the “Website”), register to become a member (or, if already a member sign in), then go to the All The Looks index page at www.mylifetime.com/all-the-looks (the “Game Page”), click on the “Find out how” button and learn how to play to win the following points for each Entry Day you play in the Promotion (“Points):

You will automatically be entered into the Promotion once you log-in on an Entry Day and begin to earn Points on that Entry Day. If you e-mail or share the same lookbook or look multiple times without leaving the page containing the look or lookbook, you will only earn Points once. To earn additional points for emailing or sharing the same lookbook or look, you must leave the page containing the look or lookbook, return to it and then email or share the lookbook or look to a different email address. A leaderboard (available at http://www.mylifetime.com/all-the-looks/leaderboard) (“Leaderboard’) can be linked to from the Game Page and will track the number of Points earned by the top twenty-five (25) users for each Entry Day. ALL OF AN ENTRANT’S POINTS EARNED ON AN ENTRY DAY MUST BE EARNED BY THE ENTRANT PRIOR TO 11:59:59 PM (ET) ON THAT ENTRY DAY TO BE INCLUDED IN THE ENTRANT’S POINT COUNT FOR THAT ENTRY DAY. FOR THE PURPOSES OF THIS PROMOTION, POINTS FROM ONE ENTRY DAY WILL NOT BE CARRIED OVER TO ANY OTHER ENTRY DAY. At the beginning of Each Entry Day, all entrants for that Entry Day will begin with zero (0) points. No incomplete, forged or altered entries or Points will be accepted. Entry Limit: one (1) entry per registered user per Entry Day. Prize Limit: one (1) prize per registered member during the Promotion Period. All entries become the exclusive property of Lifetime Entertainment Services, LLC (“Sponsor”) and will not be returned. In the event of any dispute concerning the identity of any entrant, the relevant entry and all associated Points will be deemed submitted by the authorized account holder of the applicable email.

3. SELECTION OF WINNERS: The entrant with the most Points on the Leaderboard at the end of the Entry Day, as determined by Sponsor, will be deemed the winner for that Entry Day (“Entry Day Winner(s)”). If there is a tie among entrants with the most points, Sponsor shall determine the Entry Day Winner from among such tied entrants in a random drawing to be conducted within three (3) days after the applicable Entry Day. The decisions of Sponsor in determining each Entry Day Winner are final. The user name of each Entry Day Winner will be posted on the Leaderboard approximately one (1) day after such Entry Day and each Entry Day Winner will be separately notified by Sponsor in the manner specified in these Official Rules.

4. PRIZES AND ODDS: Thirty (30) Prizes (one (1) per Entry Day): $250 in the form of a check for and made payable only to each Entry Day Winner. Total Value of all Prizes: $7,500. Odds of winning depend upon the number of eligible entrants playing and Points earned each Entry Day and the number of entrants who share the top Points on that Entry Day. All prizes will be awarded (assuming sufficient number of entries). Sponsor reserves the right to substitute prizes of equal or greater value. No other substitution or transfer of prizes permitted. Sponsor is only responsible for prize delivery. Taxes and fees, if any, are the sole responsibility of Entry Day Winners.

5. ELIGIBILITY: Promotion open to individual legal residents of the 50 United States and the District of Columbia who are the age of majority or older in their states of residence as of November 1, 2009, except officers, directors and employees (and their immediate families and members of the same household) of Sponsor and its subsidiaries, affiliates, agents, and advertising and promotion agencies.

6. NOTIFICATION AND VERIFICATION OF WINNERS AND DELIVERY OF PRIZES: Potential Entry Day Winners will be notified by telephone, e-mail and/or postal mail using the contact information provided at the time of registration. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential Entry Day Winner for any reason. Each Entry Day Winner may be required to sign an affidavit of eligibility and liability release and, where permitted, publicity release. The affidavits/releases will be sent to Entry Day Winner by email, postal mail or overnight delivery. If, despite Sponsor’s reasonable efforts, a potential Entry Day Winner does not respond within five (5) days of the first notification attempt, or if the affidavit/releases are not returned within five (5) days after mailing to potential Entry Day Winner, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential Entry Day Winner, such potential Entry Day Winner’s prize may be forfeited and an alternate Entry Day Winner may be selected. If any potential Entry Day Winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential Entry Day Winner may be disqualified and an alternate Entry Day Winner may be selected. Each Entry Day Winner agrees to Sponsor’s use of her/his name, address (city and state), likeness, and/or prize information for promotional purposes in any medium without additional compensation to the extent permitted by law.

7. GENERAL: This Promotion is void outside the United States and where prohibited or restricted by law and subject to all applicable federal, state and local laws and regulations. This Promotion will be governed by the internal laws of the State of New York. Any and all legal actions or claims arising in connection with this Promotion must be brought in a court of competent jurisdiction within the United States. Sponsor and its parents, successors, subsidiaries and affiliated companies, advertising and promotion agencies, prize suppliers, printers, distributors, and the respective officers, directors, employees, representative and agents of each and any other person or entity related in any way (together with Sponsor, the “Promotion Entities”) are not responsible for: (a) late, lost, stolen, damaged, garbled, incomplete, misaddressed, postage due or misdirected entries (and associated Points), e-mails or other communications; (b) errors, omissions, interruptions, deletions, defects or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices or transmission lines; (c) data corruption, theft, destruction, loss, unauthorized access to or alteration of entry materials (including Points); or (d) electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind or insufficient space in entrant's e-mail account to receive e-mail messages. The use of automated software or computer programs to register for, earn Points, or otherwise play or enter into this Promotion is prohibited and any individual who uses or attempts to use such methods in connection with the Promotion will be disqualified. The Promotion Entities disclaim any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with, this Promotion. Sponsor reserves the right, at its sole discretion, to modify, cancel, terminate or suspend this Promotion and to tally, and award prizes based on, all eligible non-suspect entries (including Points) received prior to such action, if any virus, bug, technical failure, unauthorized human intervention or other cause outside of Sponsor’s control corrupts or affects the administration, security, fairness, integrity or proper conduct of this Promotion. In the event of any such modification, cancellation, termination or suspension, a notice will be posted on the Website. Sponsor reserves the right, at its sole discretion, to disqualify any entrant (and all of her/his Promotion entries and/or Points) from this Promotion or any other promotion conducted now or in the future by Sponsor if she/he tampers with the entry process or if her/his fraud, misconduct or other action or inaction affects the integrity of this Promotion. Sponsor reserves the right to correct clerical or typographical errors in promotional materials. By participating in this Promotion, each entrant accepts the conditions stated in these Official Rules, agrees to be bound by the decisions of the Sponsor and judges and warrants that she/he is eligible to participate in this Promotion. In addition, each entrant by participating in this Promotion agrees on her/his behalf (and on behalf of her/his heirs), to release the Promotion Entities and hold them harmless from and against any and all liability for any injuries, loss or damage of any kind resulting in whole or in part, directly or indirectly, from her/his participation in this Promotion or any Promotion-related activity or from the award, acceptance, possession, misuse or use of any prize or participation in any prize-related activity.

8. CAUTION. ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

9. WINNERS’ NAMES: To obtain winners’ names, send a self-addressed, stamped envelope to: All The Looks Launch Promotion Winners’ Names Request, Lifetime Entertainment Services, LLC, 111 8th Avenue, 11th Floor, New York, NY 10011, Attn: New Media Department. Prize winners’ names request must be received by December 1, 2009. Winners’ names also will be posted on www.mylifetime.com. Winners’ names available after selection and verification of winners.
